Terms and Conditions

These Terms and Conditions (“Agreement”) govern all transactions conducted with Aionsci (“Company”, “we”, “us”, or “our”) via our website, email, or other sales platforms. By placing an order, you (“Purchaser”, “you”, or “the Researcher”) consent to adhere to these terms. Our Refund and Returns Policy and Privacy Policy form part of this Agreement.

1. ABSOLUTE LIMITATION OF USE: RESEARCH USE ONLY (RUO)

1.1 Non-Medical Status: All products offered by Aionsci are designated solely for In-Vitro Laboratory Research Use Only. They are NOT intended for human or animal consumption, including but not limited to: clinical trials, diagnostics, therapeutic applications, or any use in or on humans or animals.
1.2 Regulatory Status: These products are not medicines. They have not been approved or authorized by any medicines regulator for any medical use. They are not to be used as food additives, medicines, cosmetics, or household substances.
1.3 Misuse Policy: Any indication or evidence that products will be used for human or animal consumption will lead to immediate order cancellation, permanent account suspension, and potential reporting to the appropriate authorities.

2. PURCHASER REPRESENTATIONS & WARRANTIES

By purchasing, you affirm and guarantee that:

• 2.1 Age: You are at least 21 years old and possess the legal capacity to enter into this agreement.
• 2.2 Expertise: You are a qualified researcher affiliated with a laboratory or research institution and have the necessary expertise to manage hazardous materials.
• 2.3 Safety Protocols: You have the appropriate equipment, ventilation, and safety measures in place to handle, store, and dispose of the products in accordance with industry standards.
• 2.4 Non-Redistribution: You will not resell, distribute, or provide these products to any individual or entity for non-research purposes.

3. INDEMNIFICATION & LIMITATION OF LIABILITY

3.1 Assumption of Risk: The Purchaser acknowledges that biochemicals involve inherent risks. You assume full responsibility for any injury, loss, or damage resulting from the handling, storage, or use of the products.
3.2 Hold Harmless: You agree to indemnify, defend, and hold harmless Aionsci and its officers, employees, and suppliers from any and all claims, damages, and legal expenses arising from your breach of this Agreement or your use of the products.
3.3 Damages Cap: To the fullest extent allowed by law, Aionsci’s total liability for any claim shall not exceed the purchase price paid for the specific product in question. We are not liable for incidental or consequential damages. Nothing in this Agreement limits liability that cannot be limited under applicable law.

4. ORDERING, PRICING, AND AVAILABILITY

• 4.1 Pricing: Prices are subject to change without prior notice. We reserve the right to correct any pricing errors even after an order has been confirmed.
• 4.2 Verification: We reserve the right to request a copy of your business registration, institutional ID, or a statement of research intent prior to fulfilling any order.
• 4.3 Rejection of Orders: Aionsci reserves the right to refuse service to anyone at any time for any reason.

5. SHIPPING AND DELIVERY

• 5.1 Delivery: Available shipping destinations and options are shown at checkout. All orders ship with tracking.
• 5.2 Dispatch: Orders placed before the daily cutoff on a working day (Monday to Friday, excluding public holidays) are normally dispatched the same day. Later orders are dispatched on the next working day. Delivery times given by the carrier are estimates.
• 5.3 Tracking: We provide tracking for all orders. Please make sure the delivery address is complete and secure.
• 5.4 Risk and Title: Risk in the products passes to you on delivery. Ownership passes to you once we have received payment in full.
• 5.5 Lost or Damaged Parcels: If your parcel has not arrived by the expected delivery date, or arrives damaged, contact us within 14 days of that date. We will investigate with the carrier and send a replacement or refund you.

6. PAYMENT & CREDIT TERMS

6.1 Payment Methods: We accept the payment methods shown at checkout. Payment is taken when you place your order.
6.2 Net Terms: Approved institutional accounts may qualify for Net 30 terms. Late payments incur a fee of 1.5% per month or the maximum rate allowed by law.
6.3 Chargeback Policy: Unauthorized chargebacks are deemed a breach of contract. All billing disputes must be submitted in writing to our support team within 7 days of the invoice date.

7. RETURNS AND REFUNDS

7.1 Unopened Items: You may return unopened items in their original sealed packaging within 14 days of delivery. Email connect@aionsci.com before sending anything back.
7.2 Opened Items: For safety and to protect product integrity, opened or unsealed vials cannot be returned unless they are faulty.
7.3 Faulty, Damaged or Incorrect Items: If a product arrives damaged, is incorrect, or does not match its Certificate of Analysis (COA), notify us within 14 days of delivery with photos or supporting laboratory data (HPLC/MS). We will replace the product or refund you, including the cost of returning it.

8. INTELLECTUAL PROPERTY & MEDIA

8.1 Website Content: All text, graphics, and data on Aionsci are for educational and theoretical purposes only.
8.2 No Marketing Reliance: You agree that no marketing materials, blog posts, or social media content shall be regarded as “Instructions for Use” or clinical guidance. You have a non-delegable duty to verify scientific data through peer-reviewed literature.

9. GOVERNING LAW & DISPUTE RESOLUTION

9.1 Governing Law: This Agreement is governed by the laws of the jurisdiction in which Aionsci is registered.
9.2 Disputes: Before starting any proceedings, please contact us at connect@aionsci.com so we can try to resolve the matter.
9.3 Time Limit: Any claim against Aionsci must be filed within one (1) year of the delivery date, to the extent permitted by law.
